Code Services Addendum to the FreightParse Licence Terms
Version 1.0, 20 October 2026. In force from 20 October 2026.
This Addendum adds to the FreightParse Licence Terms (version 2.1, 14 October 2026, freightparse.com/legal/licence-terms.html) the terms of our code work: tariff codes suggested for product descriptions.
Parties. The Customer, and Danil Sysenko, sole proprietorship (eenmanszaak) trading as FreightParse, registered with the Netherlands Chamber of Commerce (KVK) under number 42184908, Mathenesserweg 122B01, Rotterdam, the Netherlands, danil@freightparse.com (we or us).
T1. What this Addendum is.
- It applies to the Code Services: a Code Check, in which our software suggests tariff codes for product descriptions the Customer sends and compares them with the codes the Customer gives; a Catalogue Job, in which our software suggests tariff codes for a list of product descriptions; and the HS code API, through which the Customer's own software sends product descriptions to our server and gets suggested tariff codes back.
- The Licence Terms (version 2.1, 14 October 2026) apply to the Code Services as a related service (clause 2.1), also when the Customer has no Licence. For the Code Services, "Agreement" in clause 1.3 includes an agreement for a Code Service, and "Output" in clause 1.10 includes the Results.
- An agreement for a paid Code Service is formed when the Customer accepts our Offer in writing (clause 3.3), or when it pays the price we gave it for a Catalogue Job with our payment link.
- A free check, and a Catalogue Job for Lines that cost nothing, are formed, as a Test Licence is under clause 5.1, when the Customer, having received these Terms and this Addendum, sends us a file for it. The use of the HS code API is formed when the Customer, having received these Terms and this Addendum, first uses the key we give it.
- This Addendum amends clauses 1.3, 1.10, 6.2, 6.8, 7.1, 8, 9.2 and 10 and Annex 1 for the Code Services, as set out below. Everything else in the Licence Terms applies unchanged.
T2. Definitions. Lines: the rows of a file the Customer sends us, or the products its software sends to the HS code API: a product description and, for a Code Check, the code filed or given, with the Customer's own line and parcel references if it chooses. Results: what we return for the Lines: for each Line our suggested codes, the official text of the tariff lines concerned, a suggested description where one is needed and a confidence word, for a Code Check also a verdict, and a summary. Distinct line: Lines whose descriptions are the same, ignoring case, accents and spacing, count as one distinct line within a job, and for a monthly plan within a calendar month.
T3. Suggestions, not decisions.
- For the Code Services, clause 7.1 reads: "The Code Services suggest tariff codes for product descriptions and compare them with the codes the Customer gives. They do not lodge declarations, do not decide any tariff classification, origin, preference or customs value, and do not give customs, tax or legal advice."
- The Results are made by software, with a language model, from the description alone. A verdict says how a code compares with our suggestions: "agrees" does not mean that the code is right, and "disagrees" does not mean that it is wrong.
- Only a customs authority gives a binding classification (Binding Tariff Information under Article 33 of the Union Customs Code, Regulation (EU) No 952/2013).
- The Customer decides every code it files or passes on. Clauses 7.2 to 7.5 apply: before a code from the Results is used in a declaration or given to a client, a competent person working for the Customer checks it against the goods and the tariff, and the Customer stays responsible to customs and to its own clients.
T4. No guarantee of a code.
- We do not warrant that any suggested code, verdict or description is correct or complete, or that customs will accept it. The accuracy figures we publish describe a test on products we had not seen. They are not a promise about the Customer's Lines.
- Clauses 8.1 to 8.3 do not apply to the Code Services; clause 8.4 does. If we deliver no Results, or Results that cannot be used because of our own error, we redo the job, or refund its fee if we cannot (an exception to clause 6.8).
T5. Liability.
- For the Code Services, the cap in clause 9.2 is the fee paid for the job from which the loss arose; for a monthly plan or the HS code API, the fees paid for it in the 12 months before the event.
- Clause 9.3 applies in full. We are not liable for customs duties (the EUR 3 duty per item included), import VAT, fines, the cost of correcting a declaration, goods held or delayed, or claims by the Customer's clients.
- A free check, a Catalogue Job for Lines that cost nothing and the HS code API's free products are given as they are: clauses 5.3 and 5.5 apply to them as to a Test Licence.
- Clause 9.6 applies.
T6. What the Customer sends.
- Only descriptions and codes and, if it chooses, its own line and parcel references: no prices, no names, no addresses and no other personal data (clause 10.4). The Customer confirms that it may send us the Lines for this purpose, including descriptions that come from its clients.
- Because the Customer sends no personal data, we process none for it in a Code Service, and Annex 1 does not apply. If a file holds personal data all the same, we delete it and ask for a file without it.
T7. How the Lines are processed.
- We process and keep a file on our server in the EU (a virtual server rented from Contabo GmbH in Lauterbourg, France), with our own software, which reads only the description, code and reference columns. The search through the official tariff text runs there. Lines sent to the HS code API come to the same server.
- Each distinct description is sent to Google's Gemini model on Vertex AI, in Google's EU multi-region, which suggests the codes. Google acts under the Google Cloud Platform Terms of Service and its Cloud Data Processing Addendum; under those terms it does not use the data to train its models. A request flagged by Google's automatic abuse checks may be kept for up to 90 days, in the EU.
- Clause 11 applies to the Lines and the Results as to Customer Documents. Sending the descriptions to Google for this purpose is a use that clause 11.2 allows.
- We do not use the Lines or the Results to train or tune our software, we do not add them to our tests or examples, and we show them to no one else.
T8. Retention.
- We delete the Customer's file, the Results and the model's answers saved for the job within 30 days after the file reaches us, or earlier at the Customer's request, unless the Customer asks us in writing to keep them longer for a stated purpose (for example, so that its next month's lines that repeat are not paid twice). E-mails that carry them are deleted in the same period. Copies in our e-mail provider's backups are removed on that provider's normal schedule.
- The HS code API keeps no description and no Result: nothing is kept between requests, and the server's log records counts, never the words.
- A file the Customer sends through a messaging service such as LinkedIn also stays with that service, beyond the reach of our deletion.
- What we keep of a job after that is its date, its numbers of Lines and distinct lines, and its fee.
T9. Fees and delivery. All prices are in euro, excluding VAT.
- Catalogue Job: the first 50 Lines free, once per Customer; Lines 51 to 1,000 at EUR 0.25 each, and every Line from the 1,001st at EUR 0.15, as on freightparse.com/hs-code/. For a longer list we return the first 50 with the price of the rest, and the rest within one Working day of the Customer's yes. A list of up to 1,000 Lines may be paid in advance with our payment link, for the paid Lines of the price we gave; a longer list is invoiced.
- Code Check: a free check covers up to 500 Lines, once per Customer. A pilot costs EUR 250 for up to 5,000 Lines. A monthly plan costs EUR 0.05 a distinct line, and EUR 0.03 for each distinct line above 10,000 in a calendar month.
- HS code API: the prices on freightparse.com/api/, per key and calendar month.
- Other jobs are priced in the Offer. Clause 6 applies, except that we invoice a job when we return its Results and a monthly plan or the HS code API after each month (in place of clause 6.2), and the Customer pays within 14 days of the invoice date.
- A monthly plan runs per calendar month until the Customer or we end it by e-mail, and then ends at the end of that month (as clause 14A.1).
- We aim to return Results within two Working days of receiving a usable file, and a Catalogue Job within one Working day. That is an aim, not a guaranteed time.
T10. Precedence. For the Code Services, this Addendum prevails over the Licence Terms where they differ.
